CHARLOTTE, N.C., 18. Januar 2021 – SPX FLOW, Inc. (NYSE:FLOW), ein führender Anbieter von Prozesslösungen für Lebensmittel-, Getränke- und Industriemärkte, gab heute den Abschluss der Übernahme der UTG Mixing Group bekannt, des Herstellers von Stelzer-, Uutechnic-und Jamix-Mischlösungen für Chemie-, Lebensmittel-, Metallurgie- und Düngemittel-, Umwelttechnik-, Wasseraufbereitungs- und Pharmamärkte.

Die Übernahme der UTG-Betriebe mit Sitz in Finnland und Deutschland wird das bereits robuste globale Portfolio von SPX FLOW an Rühr- und Mischlösungen, darunter Lightnin, Plenty und APV, um neue Technologien, Fertigungskapazitäten und technisches Know-how erweitern.

SPX FLOW unterzeichnet Kombinationsabkommen zur Übernahme der UTG-Mischgruppe

Sie haben vielleicht gehört, dass die Plc Uutechnic Oyj (zusammen mit ihren Tochtergesellschaften „UTG Mixing Group“ oder „UTG“) eine Kombinationsvereinbarung abgeschlossen hat, nach der SPX FLOW ein empfohlenes freiwilliges öffentliches Übernahmeangebot für alle ausgegebenen und ausstehenden Aktien von UTG zu einem Barpreis von EUR [0,60] pro Aktie unterbreiten wird. SPX FLOW ist ein führender Anbieter von Prozesslösungen für die Lebensmittel-, Getränke- und Industriemärkte. Wir freuen uns sehr über diese Nachricht und glauben, dass dieser Deal ausgezeichnete Wachstumschancen für unser Geschäft mit Stelzer-, Uutechnic- und Jamix-Mischern bieten wird.

Derzeit gehen wir davon aus, dass die Transaktion im ersten Quartal 2021 abgeschlossen sein wird. SPX FLOW wird am oder um den [14. Dezember 2020] ein Angebotsdokument veröffentlichen und den Angebotszeitraum am oder um den [15. Dezember 2020] beginnen. Sollte SPX FLOW mehr als 90% der Gesamtzahl der ausgegebenen und ausstehenden Aktien von UTG und der damit verbundenen Stimmrechte erhalten, beabsichtigt SPX FLOW, ein Squeeze-Out-Verfahren gemäß dem finnischen Aktiengesetz einzuleiten und UTG zu veranlassen, die Dekotierung seiner Aktien von der Nasdaq Helsinki zu beantragen, sobald dies nach den geltenden Gesetzen und Bestimmungen zulässig und vernünftigerweise praktikabel ist.

Bis die Transaktion abgeschlossen ist, gibt es keine Änderungen in der Art und Weise, wie UTG arbeiten, auf den Markt gehen oder seine Kunden bedienen wird. Es wird nicht erwartet, dass der Abschluss der Transaktion unmittelbare materielle Auswirkungen auf den Betrieb der UTG oder die Beziehungen zu den Kunden und Partnern der UTG haben wird. Wir bitten Sie, bis auf weiteres im Rahmen der bestehenden Verträge mit der UTG (Uutechnic, Jamix oder Stelzer), soweit anwendbar, weiter zu arbeiten.

In ihren öffentlichen Erklärungen hat SPX FLOW erklärt, dass die Produkte, die qualifizierten Teammitglieder, die technische Expertise, die Herstellung und die Vertriebskanäle von UTG mit ihrer Strategie übereinstimmen, das Kerngeschäft mit Mischern, Pumpen und Ventilen auszubauen. UTG office in Jakobstad serves Ostrobothnia and Sweden

UTG Mixing Group has opened a new office in Jakobstad to serve industrial companies in the coastal Ostrobothnia region of Finland, including the cities of Jakobstad and Karleby. The working languages of the new office are both Finnish and Swedish, making it possible to serve customers also in Sweden and other Scandinavian markets.

“Being located in Jakobstad means we can be closer to end users and provide immediate consultation regarding various mixing tasks, even at the customer’s site. We can also participate in installation inspections and commissionings, as well as inspections of older equipment. At UTG Mixing Group, the customer always communicates directly with one of our technical experts,” says Mattias Gripenberg, Sales Manager at UTG’s new Jakobstad office.

UTG has previously been active in the Ostrobothnia region of Finland, but the new office serves as a single regional base for its experts. Sales Manager Henri Malmi also works at the new office, which is situated in the center of Jakobstad at the address Choreauksenkatu 13, 3rd floor.

Also remote specialists from other locations are involved whenever the case requires.

“Bringing the regional organization together in one office is a big advantage in terms of organizing tasks and teamwork. Our shared premises allow us to fully utilize our combined competences and improve both communication and social interaction within our sales organization,” Gripenberg adds.

Both sales managers at the new office are qualified professionals in mixing technologies.

“I joined UTG in 2007 and have been involved in industrial mixing solutions ever since. I started as a project engineer, but for the past ten years I have focused on sales work. I now work mainly from the new office in Pietarsaari/Jakobstad, but I also travel often to visit customers and our head office in Nystad,” Gripenberg says.

Major deals strengthen UTG’s position as a global supplier of demanding mixing solutions

UTG Mixing Group has signed three major deals in the past month, illustrating how years of systematic development work have made it a notable challenger to other global players in large-scale mixing technology projects.

Stelzer Rührtechnik International GmbH, part of UTG Mixing Group, received three significant orders in the space of just one month, including one from South America and two from China.

The order from South America includes 12 mixers for the demanding chemical process of one of the leading international groups in its industry. The total value of the order is approximately EUR 1.5 million. The first order from China includes 6 mixers for polymer production reactors and represents an important new customer acquisition with high future potential. The total value of the order is in excess of EUR 0.6 million. The second order from China includes 24 high-end mixers for a polymer production process with a total value of approximately EUR 2.0 million.

“This is historically the highest contract value for a single order for Stelzer. During this year, Stelzer has clearly taken a step-up as a potential supplier for larger sized projects. We have a long-term relationship with this customer, but earlier we have not been awarded such big contracts. This deal really shows the lifetime performance of our equipment compared to local competition, as well as UTG Mixing Group’s capabilities within the chemical and polymer industry. The order further strengthens our workload for the coming year,” says Jussi Vaarno, Chief Operating Officer, UTG Mixing Group.

New market opening

“It has been great to see that we are now receiving more and more inquiries from globally operating technology and engineering companies. These three cases opened up for us a new market for bigger reactor agitators and new high demanding processes. In all cases we used CFD simulation to convince the customer. The cooperation and great effort of our agents and sales team was an excellent example of ‘Global competence served locally’ – in spite of the corona situation. We were able to overcome the challenge thanks to successful remote meetings, Stelzer’s very long history especially in the polymer business in China, and the support of our local agents close to the customers. The fact that we invested in consultation and were available to the client practically 24 hours a day also certainly had an impact,” thanks Jürgen Rasch, Director of Sales, Stelzer Rührtechnik International GmbH.

The South America order came from a global player in the chemical industry for rubber technology and includes also the assembly and start-up of the mixers.

“The second order from China, the biggest single order in our company’s history, is based on the long partnership between our customer in China and Stelzer. In recent years Stelzer has supplied some highly demanding agitators for reactors that the Stelzer service team has installed while also handling the start-up. The new order is a green field project for a new plant,” says Rasch.

Many targets achieved this spring despite the corona crisis

The corona crisis this spring was challenging in many ways for the UTG Mixing Group. Social distancing guidelines, hygiene requirements, travel restrictions and the resulting delivery delays by suppliers have not made day-to-day work easy.

“Nevertheless, it has been great to see how all our personnel have been able to handle the unexpected challenges in such an exemplary manner while also looking out for each other. Learning new ways of doing things, such as working remotely and meeting our customers while the voices of family members can be heard in the background, has even brought us closer together. Out of necessity, we have had to learn to utilize a wide range of digital services, appreciate our everyday routines and discover new opportunities. At the same time, we have achieved many of our targets, for which our entire personnel deserve a warm thank you,” says Jouko Peräaho, CEO, Plc Uutechnic Group Oyj.

Digitalization project nearing completion – new visuals and website published in June

The UTG Mixing Group has been moving in a positive direction in many areas over the past year. For example, the digitalization of processes in order to streamline operations is nearing completion. In addition to enabling us to improve our business, collaboration, performance and competitiveness, an integrated and state-of-the-art operating environment will enable us to provide added value to our customers in a variety of ways, such as through faster service.

This spring, we have clarified our visuals and message, which can be seen in our new Group website. The aim of creating a new website was to bring together the entire offerings of the UTG Mixing Group in order to better serve our various stakeholders. For example, the website highlights specific applications within different industries and presents concrete customer experiences.
