IN THE SHARE ISSUE OF PLC UUTECHNIC GROUP OYJ 542 000 SHARES WERE SUBSCRIBED
The Board of Directors of Plc Uutechnic Group Oyj resolved at the meeting, held 6 June 2016, in accordance with authorization given on 28 April 2016 by the Annual General Meeting, on an issue of maximum 1,000,000 new shares of the Company. These shares shall be directed to the personnel of the Company Group and to the ordinary members of the Board of Directors of the Company so that the personnel shall be offered 800,000 shares at maximum and to the ordinary members of the the Board of Directors 200,000 shares at maximum.
The subscription period of the new shares ended 12 August 2016. The Board of Directors has approved the subscriptions of the Share Issue. Subscriptions were approved in full.
In the Share Issue the Board of Directors has approved subscription of 542,000 new shares. The subscription price per share was EUR 0.50.
The new shares subscribed in the Share Issue represent approximately 1.0 percent of all shares of the Company and the votes they entitle. The ordinary members of the Board of Directors of the Company subscribed in full the shares offered to them.
The shares subscribed in the Share Issue shall be registered to the Trade Register and become a subject to public trading approximately 1 September 2016. The amount of the shares of the Company shall increase from 55,963,210 shares to 56,505,210 after new shares have been registered to the Trade Register. The total subscription price of 271,000 euros shall be recorded into the Company’s invested unrestricted equity reserve in its entirety. The Share Issue does not affect to the Company’s share capital.
